Seller Agreement
The contract between Shopville and each independent shop that applies when a shop applies to sell or sells through the marketplace.
Electronic acceptance
Selecting the acceptance checkbox and submitting an onboarding application creates an electronic record of this agreement. The person accepting confirms that they are authorised to bind the shop.
1. Scope and incorporated documents
This Seller Agreement applies from the date a shop accepts it during onboarding. The Seller Policies and Marketplace Standards and the Fees and Payout Policy form part of this agreement. The Seller Privacy Notice explains how Shopville handles seller data but is not itself a promise by the seller to process buyer data.
If a commercial schedule agreed in writing with a shop conflicts with the general Fees and Payout Policy, that specific commercial schedule controls only for the conflicting commercial term.
2. Independent shop and marketplace role
Each shop is an independent seller and is responsible for the products it offers, its product information, prices, taxes, inventory, fulfilment, customer service and legal compliance. Shopville provides marketplace technology and supporting services and may review, reject, suspend or remove shops and listings to protect buyers, the platform or legal compliance.
Nothing in this agreement creates employment, agency, partnership or a franchise relationship. A shop may not make commitments on behalf of Shopville.
3. Account, authority and verification
- Provide accurate, current and complete identity, contact, tax, bank and business information.
- Keep account credentials secure and promptly report suspected unauthorised access.
- Provide documents or clarifications reasonably required for verification, risk review, tax, payouts or legal compliance.
- Keep the named consumer grievance contact and other mandatory seller disclosures current.
- Do not sell until Shopville has approved the application and enabled selling access.
4. Products and listings
The shop warrants that its products and listings comply with applicable Indian law, do not infringe third-party rights, and are not misleading, unsafe, counterfeit, prohibited or unlawfully restricted.
- Use accurate descriptions, images, prices, discounts, stock status, dimensions, materials, country of origin and maker or importer details.
- Provide Legal Metrology, labelling, safety, licence, warranty and other mandatory declarations wherever applicable.
- Only use content the shop owns or is authorised to use, and provide evidence of that authority on request.
- Promptly correct or remove an inaccurate listing and cooperate with recalls or safety notices.
5. Orders, cancellations, returns and grievances
The shop must honour accepted orders, dispatch within the stated time, keep inventory accurate and communicate delays. It must follow applicable consumer rights and the listing, cancellation, return, refund and grievance rules displayed to the buyer. A shop policy cannot take away a right that applicable law gives a consumer.
The shop must acknowledge consumer complaints within 48 hours and redress them within one month, and must cooperate with Shopville on chargebacks, refunds, investigations and dispute resolution.
6. Fees, tax and payouts
The Fees and Payout Policy applies to fees, deductions, taxes, reserves, adjustments and payout timing. The shop is responsible for its registrations, returns, invoices and taxes. Shopville may collect, deduct, report or remit amounts when required by law, including applicable GST TCS or income-tax TDS.
7. Buyer data and confidentiality
A shop may use buyer and order data only to fulfil the order, provide support, meet legal duties or for another purpose the buyer has lawfully requested. It must protect that data, restrict access, avoid unsolicited marketing, and delete or retain it in line with applicable law and Shopville policy.
8. Content licence
The shop keeps ownership of its content and gives Shopville a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt for format, display and promote that content for operating and marketing the marketplace and the shop. This licence ends when the content is removed, except for backups, completed transactions and material already used in lawful campaigns.
9. Review, enforcement and termination
Shopville may delay publication, withhold or adjust payouts, remove listings, restrict features, suspend or terminate access where reasonably necessary for verification, complaints, fraud, safety, policy breaches, legal obligations or platform integrity. Where appropriate, Shopville will explain the reason and provide a correction or appeal path.
Ending this agreement does not remove obligations relating to existing orders, refunds, fees, taxes, buyer data, intellectual property, investigations or records that must be retained.
10. Changes, law and contact
Shopville may update seller terms prospectively. Material changes will be presented through the shop account or another durable notice, and Shopville may require renewed acceptance before continued selling. The version accepted for a submission is recorded.
This agreement is governed by applicable Indian law. Courts with jurisdiction under applicable law may hear disputes that the parties cannot resolve directly. Contact Shopville through the Contact page for notices or questions.
